Terms of service

Terms
About these terms
These terms apply when you work with Caelinex Labs ("we", "us"), based in Sangrur, Punjab, India, on websites, revamps, design, hosting and Caelinex Care, SEO, marketing or any other service, and when you use this website.
Each project or service also has a written proposal, quote or agreement ("your agreement") that sets out the scope, price, payment terms and timeline. Together, your agreement and these terms form our contract. If the two ever disagree, your agreement wins.
Quotes and scope
Prices on this website are starting prices. Before any work begins, we send a written scope and an itemised quote based on what you need.
A quote is valid for 30 days unless it says otherwise. Work outside the agreed scope, such as extra pages, features or integrations, is quoted separately and only done once you approve it.
Timelines
Timelines in your agreement are our best estimate and assume content, feedback and access arrive when planned. If something on either side causes a delay, we'll tell you promptly and agree a revised schedule.
Payments
Payment milestones and due dates are set in your agreement and linked to project stages. Typically an advance is due before work starts and the balance before launch or handover.
Monthly services such as Caelinex Care, SEO and marketing management are billed in advance for each billing period. Prices in Indian rupees are exclusive of GST, which is added where applicable. International clients are invoiced in the currency stated in the quote.
Third-party costs, such as domains, premium themes or plugins, software licences, paid APIs and hosting beyond plan limits, are either paid directly by you or billed at cost.
If a payment is overdue under the payment terms in your agreement, we may pause work, and for monthly services the service itself, after letting you know in writing. Work resumes once the overdue amount is settled, and the timeline moves by the length of the pause.
Cancellations and refunds
The advance covers planning, scheduling and the first stage of work, so it isn't refundable once work has started, unless your agreement says otherwise.
Fees for work already delivered or monthly periods already started aren't refunded. If a project is cancelled before work begins, any refund is made as set out in your agreement.
Your part
To keep a project on schedule, we rely on you for content (text, images, brand assets), access to the accounts and systems we need, and feedback within the agreed review periods.
You confirm that you own, or have permission to use, the content and materials you give us, and that they don't infringe anyone else's rights or break any law. You give us permission to use them for your project.
Reviews and approvals
Designs are reviewed with you before development begins, and development is reviewed on a staging link before launch. The number of review rounds is set in your agreement; further rounds are quoted separately.
When you approve a design or a staging version, we build or launch on that basis. Changes requested after approval may be treated as new scope.
Ownership of the work
Once the project is paid in full, you own the final design, the code written specifically for your project, and your content. Until then, we keep ownership and you may not use the work in production.
We keep ownership of our own tools, components, templates and know-how that we use across projects, and of Caelinex Business OS. You receive a permanent licence to use them as part of your website. Open-source and third-party software stays under its own licence.
We may show the work in our portfolio. If your project is confidential, tell us and we won't name you or show it.
Hosting, Care and other monthly services
Services agreed for less than a month, such as a one-off audit or setup, end when the agreed work is delivered.
Services agreed for a fixed term of one or more months run for that term. Unless your agreement says otherwise, they then continue month to month until either of us ends them with 30 days' written notice. Ending a fixed term early is handled as set out in your agreement.
If you leave, we'll help move your website, domain and accounts to you or your new provider once all fees are paid.
We take reasonable care to keep websites we host secure, backed up and online, but we can't guarantee uninterrupted service, especially when a hosting platform, domain registrar or other third party has an outage.
Third-party platforms
Websites rely on services we don't control, such as hosting platforms, domain registrars, payment gateways, Shopify, WordPress plugins and ad platforms. Their own terms apply, and they may change features, policies or prices. We'll help you adapt, and any work needed is quoted separately.
SEO and advertising
Search rankings and advertising results depend on search engines, ad platforms and competitors outside our control. We commit to measurable work and clear reporting, but we don't guarantee rankings, traffic, leads or sales.
Advertising budgets are paid by you directly to Google, Meta or the relevant platform, and are separate from our management fees. We only spend within budgets you approve.
Confidentiality and data
We keep your business information, data and account access confidential, use it only to deliver the work, and share it only with service providers we need for the project. You agree to treat our proposals and pricing for you in the same way.
Where we handle personal data on your behalf, such as enquiries from your website, we do so only on your instructions and in line with applicable law, including India's Digital Personal Data Protection Act, 2023. How we handle data about you is explained in our privacy policy.
Warranties and liability
We carry out our work with reasonable care and skill. After launch, we fix defects in what we built during the support period in your agreement, at no extra cost. Apart from this, the work is provided as delivered, and we don't promise it will be error-free or suit purposes we weren't told about.
Our total liability for any claim connected with a project is limited to the fees you paid us for that project, or, for monthly services, the fees for the three months before the claim. We aren't liable for indirect or consequential losses, such as lost profits, revenue or data, except where the law doesn't allow this to be limited.
You agree to cover any claims, costs or losses caused by content or materials you supplied, or by your use of the work in breach of the law.
Ending a project
Either of us can end a project with written notice if the other seriously breaches these terms or your agreement and doesn't fix it within 14 days of being told.
If a project ends early, you pay for the work completed up to that point, and we hand over that work once it's paid for.
Events outside our control
Neither of us is responsible for delays or failures caused by events beyond reasonable control, such as natural disasters, power or internet outages, platform failures, government action or illness. We'll tell each other as soon as possible and resume once the event is over.
Using this website
The information on this website, including prices, is a general guide and may change. Your written quote is what applies to your project.
Answers from the website assistant are generated automatically and may be incomplete or wrong. Please confirm anything important with us in writing.
Please don't misuse the website, for example by trying to break its security or sending automated or spam enquiries.
General
We work as an independent business, not as your employee or agent. We may use trusted subcontractors for parts of a project and remain responsible for their work. Neither of us may transfer the contract to someone else without the other's written consent.
Notices under these terms can be sent by email to the addresses we use for the project; "in writing" includes email. If any part of these terms can't be enforced, the rest still applies. Not enforcing a right straight away doesn't mean giving it up. Your agreement and these terms are the whole contract between us and replace earlier discussions.
Governing law and disputes
These terms are governed by the laws of India. If a disagreement arises, we'll first try to resolve it in good faith by talking it through. Any dispute we can't resolve within 30 days will be handled by the courts at Sangrur, Punjab.
Changes and contact
When we change these terms, we'll update the date at the top of this page. Changes don't affect projects already agreed, unless we both agree in writing.
